FORESIDE PROJECTS LLC — TERMS OF SERVICE

These Terms of Service (“Terms”) form a legally binding agreement between you (“Client,” “you”) and Foreside Projects LLC (“Foreside Projects,” “we,” “us,” “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) The Service

Foreside Reviews provides tools and/or managed services to help businesses request and collect customer feedback and reviews (e.g., via email and/or SMS), and may include messaging templates, automation, basic reporting, and integrations. The Service does not guarantee review volume, ratings, search ranking changes, or revenue results.

2) Eligibility

You must be at least 18 years old and able to enter into a contract on behalf of yourself or your business.

3) Accounts & Security

If you create an account, you are responsible for:

maintaining accurate information,

safeguarding login credentials, and

all activity conducted through your account.

4) Client Responsibilities (Consent & Compliance)

You represent and warrant that you:

have a lawful basis and all required consents/opt-ins to contact your customers via SMS and/or email for review requests;

will comply with all applicable laws and rules, including (where applicable) TCPA, CAN-SPAM, CASL, and privacy laws (e.g., state privacy laws);

will honor opt-outs and suppression requests and will not upload or message contacts who have opted out or who you cannot lawfully contact.

You are solely responsible for the legality of the contact lists and data you provide.

5) Messaging (SMS/Email) and Opt-Outs

If SMS is enabled:

recipients may opt out by replying STOP (or similar keywords supported by carriers/providers);

message and data rates may apply based on the recipient’s carrier plan;

delivery timing and reliability may vary due to carriers and other third-party systems.

We may implement reasonable opt-out and suppression controls, but you remain responsible for compliance and list hygiene.

6) Prohibited Use

You may not use the Service to:

send unlawful, deceptive, harassing, or abusive messages;

violate third-party rights (privacy, publicity, IP);

distribute malware, scrape, reverse engineer, or disrupt the Service;

attempt unauthorized access to accounts or systems;

use the Service for “review gating” or other practices that violate third-party platform policies (including Google policies), if applicable.

We may suspend or terminate access for suspected violations.

7) Payments, Subscriptions, and Cancellations

If the Service is paid:

fees are billed as agreed at checkout or in an order form;

subscriptions renew automatically unless cancelled before renewal;

you authorize us (and our payment processors) to charge your payment method for recurring fees;

taxes may apply.

Unless required by law or stated in writing, fees are non-refundable. Cancelling stops future renewals; access typically remains through the end of the paid term.

8) Third-Party Services & Integrations

The Service may connect with third-party services (e.g., CRM tools, messaging providers, Google Business Profile). Those services are governed by their own terms and policies. We are not responsible for third-party outages, policy changes, data loss, or performance.

9) Data & Privacy

Our collection and use of information is described in our Privacy Policy: [link to your privacy policy].
You grant us permission to process data you provide solely to deliver and improve the Service, perform support, and meet legal obligations. You agree you have the right to provide us any customer data you upload.

10) Intellectual Property

We own (or license) the Service, including its software, templates, branding, and content. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription/term.

You retain ownership of your business data and content you upload, subject to the limited rights needed for us to operate the Service.

11) Confidentiality

Each party may receive confidential information from the other. Both parties agree to protect confidential information using reasonable care and to use it only as needed to perform under these Terms.

12) Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE RESULTS, REVIEW RATINGS, OR PLATFORM OUTCOMES.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE, OR DATA LOSS.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE ONE (1) MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in that case, limitations apply to the fullest extent allowed.

Carriers are not liable for delayed or undelivered messages.

As always, messages and data rates may apply for any messages sent to you from us and to us from you. You will receive no more than 4 SMS messages per week. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

14) Indemnification

You agree to defend, indemnify, and hold harmless Foreside Projects, its affiliates, and personnel from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from:

your contact lists, data, or messaging content,

your failure to obtain required consent or comply with law,

your misuse of the Service, or

your violation of third-party rights.

15) Suspension & Termination

You may stop using the Service anytime. We may suspend or terminate access immediately if we reasonably believe you violated these Terms, law, or third-party platform rules, or if your use creates risk for us or others.

Upon termination, your right to use the Service ends and scheduled messaging may stop. Data retention/deletion requests are handled per the Privacy Policy.

16) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., within the Service or by email). Continued use after the effective date means you accept the updated Terms.

17) Governing Law

These Terms are governed by the laws of the State of Maine, without regard to conflict-of-law principles. Any dispute will be brought in the state or federal courts located in Maine, and you consent to jurisdiction and venue.
